1. CONCEPTS
1.1. Sale-purchase rules mean rights and duties of the Purchaser and the Seller defined in the present purchase-sale agreement, the terms and conditions of acquisition of products and payment for them, the procedure of products delivery, the parties' liability and other provisions related to purchase and sale of products in the online store http://www.houseproject.eu/.
1.2. Online store is the online store available on the website http://www.houseproject.eu/ where the Purchaser, registered or not registered to the system of the Online store, can buy products offered by the Seller.
1.3. The Seller is JSC NPS Projektai, registered and operating in accordance with the laws of the Republic of Lithuania, registration No. 301637711, VAT payer's code LT100010062018, operating at the address J. Jablonskis str. 16, Siauliai LT-78162, website http://www.houseproject.eu/.
1.4. The Purchaser is a person who meets the requirements specified in clause 2.2 of the present Sale-purchase rules and who has acquired products in the Online store.
1.5. Sale-purchase agreement means sale-purchase agreement concluded by the Purchaser and the Seller consisting of products order application to be submitted by the Purchaser to the Seller through the Online store and the Sale-purchase rules with subsequent amendments and supplements.
1.6. The products mean reiterative house projects. The Purchaser may choose from the following reiterative projects:
1.6.1. Architectural part of reiterative house project (the plans of floors and a roof, facades, sections with dimensions; electronic version of the project in pdf format, adoc format signed with electronic signature of the Project part manager and the first floor projection in dwg format).
1.6.2. The 3D module of reiterative house project (allows measurement and viewing of the house from all sides by turning, viewing of the interior of the house, marking of desirable project changes in plans or facades, etc., presented in dwfx format and for review in pdf format).
2. GENERAL TERMS AND CONDITIONS
2.1. By the present Sale-purchase agreement, the Seller undertakes to sell and deliver the product to the Purchaser and the Purchaser undertakes to accept the product and to pay for it a fixed amount of money under the terms and conditions of the Sale-purchase agreement.
2.2. Customers registered and not registered to the Online store system have the right to buy from the Online store, i.e. the customers who are:
2.2.1. adults (at least 18 years old) whose capability is not restricted by court order;
2.2.2. legal entities.
2.3. Trading activities in the Online store are carried out from the Republic of Lithuania
2.4. The features of each product sold in the Online store, project composition and information are specified next to each project and are available in the website http://www.houseproject.eu/
2.5. All house projects of the Seller are insured with the civil designer insurance (Article 37 of the Law on Construction of Republic of Lithuania).
2.6. The present Sale-purchase rules together with the order submitted by the Purchaser become the Sale-purchase agreement entered into by the Purchaser and the Seller and serves as a binding legal document for both Parties.
2.7. The Purchaser has been duly informed and agrees that in accordance with Article 6.22810 (part 2, paragraph 1) of the Civil Code of Republic of Lithuania the Purchaser does not have the right to refuse the present Agreement.
3. RIGHTS AND LIABILITIES OF THE PURCHASER
3.1. The Purchaser has the right to buy products in the Online store in accordance with the procedure established in the present Sale-purchase rules and the Online store.
3.2. After submitting an order in the Online store, the Purchaser shall pay for the products and accept them under the procedure established in the present Sale-purchase rules.
3.3. The Purchaser undertakes not to transfer to the third parties his/her login details. If the Purchaser loses the login details, he/she shall notify the Seller by phone or email not later than within 1 workday.
3.4. While using the services of the Online store, the Purchaser undertakes to observe the present Sale-purchase rules and other terms and conditions explicitly specified in the Online store and not violate the legislation of the Republic of Lithuania.
4. RIGHTS AND LIABILITIES OF THE SELLER
4.1. If the Purchaser tries to impair stability of operation the Online store and its security or violates the liabilities specified in section 3 of the Sale-purchase rules, the Seller has the right to immediately and without notice restrict or suspend the Purchaser's possibility to use the Online store or to annul the Purchaser's registration.
4.2. The Seller has the right to suspend or terminate operation of the Online store without giving prior notification to the Purchaser.
4.3. The Seller has the right without giving prior notification to the Purchaser to annul his/her order if the Purchaser fails to pay for the products within 3 (three) workdays from the day of the order submission.
4.4. If the Seller is unable to deliver to the Purchaser the product ordered, the Seller undertakes within 5 (five) workdays to return the Purchaser's money paid for the products.
5. THE PURCHASER'S REGISTRATION AND ENTERING INTO SALE-PURCHASE AGREEMENT
5.1. The Purchaser can buy products in the following ways:
5.1.1. To register in the Online store by filling in all mandatory fields during the first registration and later after entering in his/her registration name or password to select the products desired from which the shopping cart of the Purchaser will be formed; or
5.1.2. To select the desired products from which the shopping cart is formed. After formation of the shopping cart, the Purchaser must fill in the order form available in the Online store where he/she must enter the details which are necessary for the delivery of products selected: name, surname, phone number, email address, the product delivery address, post code. If a plot of land has been projected where construction is planned to be implemented, then the Purchaser shall specify the address of the plot of land, name and surname of the owner of the plot of land.
5.1.3. To select the desired products from which the shopping cart of the Purchaser will be formed. After formation of the shopping cart, the Purchaser must enter only email address. The Purchaser can send the order information (name, surname, phone number, email address, the place of product delivery, post code). If a plot of land has been projected where construction is planned to be implemented, then the Purchaser shall specify the address of the plot of land, name and surname of the owner of the plot of land) to the Seller by email upon receipt of inquiry to his/her email.
5.2. The agreement between the Purchaser and the Seller shall be considered entered into from the moment when the Purchaser after selecting the product (-s) to be purchased, formation of the shopping cart, specifying the requested information in the order form and after selecting the payment method confirms the order by pressing a key "Continue the order".
5.3. After submission of the order by the Purchaser, the Seller's system shall automatically send by email to the Purchaser the order confirmation containing the list of products ordered by the Purchaser and the details submitted by him/her.
5.4. An order is deemed submitted from the moment it has been received by the Seller. In such case it shall be also be considered that the Purchaser and the Seller have entered into an agreement. However, such agreement is deemed to be executed and execution of the term for the Products delivery shall commence only from the moment when the Seller receives a confirmation about payment for the products ordered.
5.5. Each Sale-purchase agreement entered into between the Purchaser and the Seller shall be registered and stored in the database of the Online store. The Purchaser who has created an account in the Online store can see his/her purchase history after login to the system of the Online store.
6. PRODUCT PRICES, PAYMENT PROCEDURE AND PRODUCT DELIVERY
6.1. The products sold in the Online store are displayed along with their selling price but excluding VAT. The prices in the final order are quoted in euros including VAT.
6.2. The Purchaser can pay for the products in one of the following ways:
6.2.1. using electronic banking - when prepayment is made through the Purchaser's electronic banking system. When the Purchaser enters into electronic banking agreement and chooses to pay for the products in this way, a payment form will be generated in the electronic banking system in accordance with the order paid by the Purchaser. The Purchaser shall transfer the money to the bank account of the Online store in the appropriate bank selected by the Purchaser. In this case, liability for data security lies with the relevant bank because all cash transactions take place in the electronic banking system of the bank;
6.2.2. using electronic payment system PayPal.
6.3. Formation of products parcel begins and the term of the products delivery shall commence from the day of the payment set off in the Seller's bank account.
6.4. The Seller shall not bear responsibility for the actions and omission of banks, correspondents and other third parties, including faulty operation of communication lines if this results in non-fulfilment or inept fulfilment of operations of the Purchaser's bank account management.
6.5. Upon receipt of notification that the Purchaser has performed the payment order, the Seller shall send the product (free of charge) from info@nps-projektai.lt within 2-3 workdays after the payment to the email address specified by the Purchaser. The Purchaser receives the following: an identical version of paper project in pdf format that can be printed, the files in adoc format signed by the Project parts managers with electronic signature and the first floor projection in dwg format.
7. LIABILITY
7.1. The Purchaser shall be liable for the correctness of data specified in the registration form. If the Purchaser fails to specify correct data in the registration form, the Seller shall not bear responsibility for the consequences.
7.2. The Purchaser shall be liable for the actions performed using the system of the Online store.
7.3. The Purchaser shall be liable for transfer of his/her login details to the third parties. If the third party uses the services provided by the Online store using the Purchaser's login details for login to the Online store, the Seller considers such person as the Purchaser.
7.4. The Seller shall be exempt from any liability in cases when the Purchaser ignored the Seller's recommendations and his/her liabilities and failed to familiarize with the Sale-purchase rules, although the Purchaser had a possibility to familiarize with them.
7.5. The Seller shall not be liable for the links to the websites of other companies, institutions, organisations or persons available in the Online store and for any information available in those websites or activity of other companies, institutions, organisations or persons. The Seller does not supervise and control the aforementioned websites and does not represent those companies, institutions, organisations and persons.
7.6. In event of failure to execute the Sale-purchase agreement or inappropriate execution of the Agreement, the guilty Party shall compensate direct losses incurred by other Party, i.e. the expenses incurred due to the actions of the guilty Party.
8. PRIVACY POLICY AND DATA PROTECTION
8.1. The Seller shall ensure the rights of the purchasers in accordance with the Law on Data Legal Protection of Republic of Lithuania and other legislation governing personal data processing. The Seller shall manage personal details provided by the Purchaser on purpose of e-commerce (execution of the customer orders, information and after-sales service).
8.2. The Seller on purpose of e-commerce receives and manages the following personal details of the Purchaser: name, surname, phone number, address, email address, the purchase related information (purchase date, product price, quantity, marking about the course of the order execution, discount code, order date, product name, product code, name and surname of the owner of the plot of land, address of the plot of land). These personal details in active database are managed from the moment of the first purchase of the Purchaser. Personal details are stored for 2 years from the moment of the last purchase of the Purchaser or the last login of the Purchaser to his/her account and after the end of this term are deleted by the authorised employee of the Seller.
8.3. The Seller receives personal details specified in clause 10.2 of the Sale-purchase rules directly from the Purchaser (after his/her registration in the customer account of the website, after initiation of the Sale - purchase agreement). The Seller does not manage the details received in other ways.
8.4. The Purchaser confirms that he/she had a chance to familiarize with the terms and conditions of personal data processing and has the following rights:
8.4.1. After providing personal identity document to the Seller or after confirmation of personal identity in accordance with legislation or through electronic means of communication enabling proper identification of the person, the Purchaser has the right to familiarize with his/her details and check how they are managed (i.e. to receive information from which sources and what details have been collected, why they are managed, to whom they are submitted, to request correction, destruction of his/her personal details or suspension of the actions of personal details processing when the details are processed failing to comply with the Law on Personal Data Legal Protection of the Republic of Lithuania or provisions of other laws).
8.5. The Purchaser shall express his/her consent or disagreement concerning processing of his/her data in writing, by email that was used during his/her registration in the Online store by specifying his/her name and surname.
8.6. The Purchaser has the right to request in writing or personally correction, destruction of personal details or suspension of the actions of personal details processing in place of the Seller's operation.
8.7. The Seller undertakes to ensure security of the Purchaser's personal details, to implement appropriate technical and organizational measures for protection of personal details against illegal destruction or/and accidental alteration, disclosure and against any other unlawful processing. All employees and representatives of the Seller undertake to protect personal details of the Purchaser.
8.8. The Seller can submit personal details to the extent and in accordance with the procedure established in the present Sale-purchase rules only to the data entity, parcel delivery companies, also to other data recipients when in accordance with laws, court decrees and other legislation the Seller is obliged to provide personal details.
8.9. More information about data protection is provided in the section "Privacy policy" of the Online store.
9. FINAL PROVISIONS
9.1. All and any notifications, except the cases provided in the Rules, must be submitted to the Seller by email info@nps-projektai.lt. The Rules shall be fulfilled and all communication between the Purchaser and the Seller shall be exercised in the state language of the Republic of Lithuania in writing. Notification sent by email shall be deemed received when 48 hours have passed after its dispatch.
9.2. The Seller reserves the right at any time change, amend or supplement the Sale-purchase rules taking into account the requirements established by legislation. The Purchaser registered in the system of the Online store shall be notified about any changes, amendments or supplements at the time of login. The Purchaser purchasing products in the Online store agrees with the changed, amended, supplemented Sale-purchase rules. The Purchaser expresses his/her consent by submitting an order to the Seller. Only the Purchasers who agree with the valid Sale-purchase rules are allowed to acquire products in the Online store.
9.3. Any disputes relating to purchase-sale of products in the Online store shall be settled by negotiation. In the event of failure to resolve disputes by negotiation, they shall be settled in the court of the Republic of Lithuania in accordance with the legislation of the Republic of Lithuania.
